Nakiso Borehole Drilling - Terms Of Agreement:

1. Agreement:

a. The payment of the consideration for the service rendered shall be construed as acceptance of these terms of agreement.

b. For the purposes of this agreement, Nakiso Borehole Drilling shall be the contractor and the dent shall be the person In whose name this receipt Is raised or his agent.

2. The Contractor:
a. Agrees to drill on the site indicated by the dent and to install standard casing from top to bottom except where a specific request has been made by the dent of his agent.

b. Drill a borehole with no guarantee or promise that water will be found. In the event of a dry hole, the contractor Is not liable, and all payments are due as per contract.

c. Due to the nature of equipment (large and heavy) damages may occur to the driveways, gardens, sanitary worts, durawalls etc. The contractor will try by all reasonable means to avoid damage but it shall not be liable for any damages that may occur. It shall not be the responsibility of the contractor to meet the cost of any repairs to such damage.

3. The Client Shall:

a. Ensure that the site is safe and free from fire or electrical hazard;

b. Ensure that all necessary clearing to access the drilling site as required by drilling staff Is carried out beforehand. The contractor shall not be obliged to wait for any such work to be performed.

c. Ensure that there is a representative to confirm the depth of drilling, flushing easing or installation (if undertaken) and signing the drilling report before machinery leaves the site. Thereafter no charges shall be laid upon the contractor with regards to workmanship.

d. Accept that the onus of having a representative on site is on the client or his agent and in the absence of such representative, the contractor shall carry on to commence and complete the Job without the contractor being liable thereafter.

e. 'The Contractor' will not be held responsible for applying for permits to drill on the client's property, nor for registering of the borehole.

f. Be responsible for obtaining the necessary certificates, licenses, permits and consents required by stabile, or any order or regulation made thereunder, or by any regulation or by-low of any authority or statutory undertaker.

4. Delays:

a. Any delays caused by the client or his agent i.e. siting, site clearing, smiting Instructions or funds from the dent, barring the machinery from leaving the site shall attract a penalty the which will be levied at 20% of the contract amount. If the contractor delays on drilling on the agreed date the contractor shall give the client 24hours notice.

5. Right To Stop Drilling:

a. The contractor reserves the right to stop drilling on reaching the depth recommended on the siting report or the depth ar Peed and paid for;

b. When in the contractor opinion, difficult drilling conditions are encountered which may prevent reasonable drilling process and other unforeseen underground geological formation conditions may pass unacceptable risks to staff, the surrounding environment, the environment at large and equipment.

c. When unnecessary damage may occur to his staff and drilling machinery and equipment.

6. Dry Holes

a. If at the agreed depth, insufficient water supply is obtained, the decision to drill deeper is entirely up to the client or his agent.

b. It is up to the client or his agent to decide whether to case or not to case the dry hole. If the hole is to be cased it cannot be deepened because of the size of the casings used.

c. If the client or his agent decides to leave the borehole uncased, and the hole collapses, the contractor will not be liable for this collapse.

d. If a hole Is left uncased, and the client later wants it either cased or deepened, the contractor will charge a setup fee to come and case it or deepen it exclusive to the deepening charges levied per metre.

7. General Terms
a. All the equipment, accessories and consumables (including fuel and casing) brought on to the site by the contractor remains the property of the contractor.

b. The contractors shall be entitled to determine the method of drilling he considers appropriate for the site.

c. While the contractor will endeavour to the best of his abilities, to drill to the wood depth, underground rock formation and other conditions may pose an unacceptable operational risk to both its staff and equipment. In such an event, the contractor will refund the dent or his agent at a rate calculated based on the costs incurred.

d. The standard drilling depth covered by the contractor is 40m and any extra depth will be charged on a separate contract at a rate of at host $45.00 per metre

e. The contractor shall supply a standard of 140m PVC day 9 casing.

f. Mileage is charged at a rate of at least $3.50 per running kilometre for all out of Harare sites. Where mileage is determined to be more than was represented, an additional charge will be computed.

g. Sitting is the sole responsibility of the client and the contractor is not liable should water not be found.

8. Terms Of Payment
a. Full payment must be made for the full cost of the contract prior to drilling. Any invoices incurred due to delays on the part of the client or his agent is required to be paid on presentation. In the event of legal proceedings being instituted due to failure to pay outstanding amounts, the clients will agree to pay interests and legal costs including collection commission that may be due.

9. Additional Incidental Charges
a. Where the underground formation requires an additional construction casing that is not part of the primary casing may be needed. This will be installed and charged at a minimum of $20.00 per metre depending on the dass of casing required.

10. Refunds

a. Where a client has made payment and for some reason no longer wants the services for, this shall be communicated to the contractor and a refund shall be processed within five (5) working days.

11. Installations
a. The installation charge is for a standard depth of 40m and a swap distance of 20m between the borehole and the power source and water connection point. Where either of the distances differs additional costs may be incurred and the client may be to pay extra charges.
